Shaquille O’Neal, the iconic basketball star, is currently involved in a class action lawsuit related to his association with the Astrals NFT project. The lawsuit accused Astrals of promoting unregistered securities, and the court has now ruled O’Neal could be considered a ‘seller’ of Astral NFTs, which he must now answer for as the case continues. However, the court dismissed the claim by the plaintiff that O’Neal was a ‘control person’ and, as such, did not have any actual power over the project.

The Solana-based Astrals project consists of 10,000 NFTs, an Astralworld metaverse and a decentralized autonomous organization (DAO) called Galaxy with its governance token.

Investors claim that O’Neal’s endorsement of these assets misled them, resulting in financial losses. Furthermore, the lawsuit argued that O’Neal’s decision to leave the project caused the value of the Astrals NFTs and Galaxy token to drop sharply.

This legal case, initiated in May 2023, has sparked discussions on asset regulation and the influence of celebrities in endorsing projects.

The ongoing legal proceedings require responses from O’Neal and the Astral project to the remaining accusations by September 12, 2024.

Court Decision and Its Significance

Judge Federico Moreno from the U.S. District Court for the Southern District of Florida in Miami Division delivered a verdict on the allegations against O’Neal.

On August 16th, the court confirmed that O’Neal was considered a “seller” in the Astrals NFT project because he successfully promoted and encouraged the purchase of the products despite his claim that he wasn’t an officer or director of the company. However, the court dismissed the accusation that he had control over the project, refuting the assertion of him being a “control person.”

This ruling leaves matters unresolved. Importantly, the court did not reject the claim that NFTs and Galaxy tokens linked to the Astrals project might be viewed as securities according to U.S. Law.

The NFT community is closely monitoring this decision as one of the rulings in this case. The potential impact on how NFTs and DAOs are regulated, especially concerning celebrity endorsements, could be widespread.

Remaining Claims

As part of a lawsuit, only certain aspects were addressed by the court ruling, with claims against O’Neal and the Astral project awaiting resolution in upcoming months.

This particular situation has highlighted the need for guidelines and oversight in the fast-changing world of NFTs, especially concerning the involvement of famous personalities in endorsing such initiatives.
